Terms of Service

These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the CI Redtalkers platform, website, and services (collectively, the “Service”) operated by CI Redtalkers (“Redtalkers”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Redtalkers. Please read them carefully before using the Service.

1. Eligibility and Account Registration

• You must be at least 16 years old to create an account and use the Service.
• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
• You may not create an account if you have been previously suspended or removed from the Service.
• One person or entity may not maintain multiple accounts for the purpose of circumventing usage limits or terms.

2. Account Types

Redtalkers offers two primary account types:

2.1 Organization Accounts

Organization accounts are designed for brands, agencies, and businesses that use the Service to manage influencer relationships, CRM data, campaigns, and marketing workflows. Organization accounts can create workspaces, invite team members, and assign role-based permissions.

2.2 Influencer Accounts

Influencer accounts are designed for individual content creators who want to build a profile, showcase their platforms and metrics, apply to job postings, and be discovered by organizations. Influencer accounts have access to profile management, job board features (depending on plan), and billing settings.

3. Subscriptions and Billing

We offer the following subscription plans for Organization accounts:

3.2 Billing Terms

• All subscription fees are billed monthly in advance through Stripe, our payment processor.
• Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• You can upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle.
• You can cancel your subscription at any time through the billing settings in your account or by contacting support. Cancellation prevents future renewals but does not entitle you to a refund for the current billing period.
• All fees are non-refundable except where required by applicable law.
• We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle following at least 30 days’ notice.
• Taxes, where applicable, are added to your subscription fees at checkout based on your billing address.

4. Influencer Plans and Boosts

Influencers may purchase Boosts to increase their visibility in search results. Boosts are one-time purchases that place the influencer’s profile at the top of search results for the specified duration:

• Boosts are non-refundable once purchased and activated.
• Boosts cannot be paused, stacked, or transferred to another influencer profile.
• Boost placement is subject to the Service’s search algorithm and may be affected by other active boosts.
• We reserve the right to modify Boost pricing and availability at any time.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Impersonate another person or entity, or falsely represent your affiliation with a person or entity.
• Harvest, collect, or scrape data from the Service in an automated manner without our express written consent.
• Upload, post, or transmit viruses, malware, or any other malicious code.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service.
• Interfere with or disrupt the Service, servers, or networks connected to the Service, including by submitting excessive requests or using bots.
• Use the Service to send unsolicited commercial communications, spam, or phishing messages.
• Post or share content that is defamatory, obscene, hateful, discriminatory, or violent.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Resell, sublicense, or redistribute access to the Service without our written consent.
• Use the Service in a manner that could damage, disable, overburden, or impair the Service.

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account, without notice and without refund.

6. User Content

6.1 Content You Submit

You are solely responsible for all content you create, upload, or share through the Service, including influencer profiles, messages, proposals, job postings, bids, comments, and support tickets (“User Content”). You represent and warrant that:

• You own or have the necessary rights to submit all User Content.
• Your User Content does not and will not infringe upon the rights of any third party.
• Your User Content complies with all applicable laws and regulations.

6.2 License to Redtalkers

By submitting User Content, you grant Redtalkers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your User Content solely as necessary to operate, improve, and provide the Service to you and other users. This license persists for the duration of your account unless you delete the content.

6.3 Content Moderation

We do not actively monitor all User Content but reserve the right to review, remove, or disable access to any content that we believe violates these Terms or is otherwise harmful. We may act on reports from other users or third parties.

6.4 Influencer Profile Visibility

Influencer profile data (name, handle, niche, platform accounts, follower counts, badges) is visible to organizations using the discovery and search features. By creating an influencer profile, you acknowledge that your profile information will be displayed to other users of the Service in accordance with your plan and visibility settings.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, functionality, graphics, logos, and software, is owned by Redtalkers and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

7.2 Trademarks

“CI Redtalkers”, “Redtalkers”, the Redtalkers logo, and other marks associated with the Service are trademarks of Redtalkers. You may not use these marks without our prior written consent.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation or compensation to you.

8. Third-Party Integrations

The Service integrates with third-party platforms including but not limited to Instagram, TikTok, YouTube, X (Twitter), Twitch, Pinterest, Shopify, and email providers. When you connect a third-party account:

• You grant us permission to access and store data from that platform in accordance with your account settings and the platform’s API terms.
• You are responsible for ensuring you have the right to connect and use the third-party account data.
• We are not responsible for the availability, accuracy, or functionality of third-party platforms.
• Third-party platforms may change or revoke API access at any time, which may affect Service features that depend on them.
• Your use of third-party services is also subject to their respective terms of service and privacy policies.

9. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not warrant that the results obtained from using the Service will be accurate or reliable. You use the Service at your own risk.

Any influencer metrics, authenticity scores, brand safety scores, and analytics provided by the Service are estimates based on available data and should not be relied upon as definitive or guaranteed. We are not liable for decisions made based on these metrics.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REDTALKERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Redtalkers, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your User Content or your use of the Service.
• Your violation of these Terms or any applicable law.
• Your infringement of any third-party rights, including intellectual property and privacy rights.
• Any misrepresentation made by you in connection with your account or the Service.

13. Termination and Suspension

• You may delete your account at any time through the account settings or by contacting support.
• We may suspend or terminate your account at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable law.
• Upon termination, your right to use the Service ceases immediately. Your data will be processed in accordance with our Privacy Policy and data retention schedule.
• Termination does not relieve you of any payment obligations for fees already incurred.
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law sections.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the “Last updated” date at the top of this page.
• Notify you by email if the changes significantly affect your rights or obligations.
• Post the updated Terms on this page.

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Redtalkers is incorporated, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration institution. The arbitration shall be conducted by a single arbitrator, and the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be brought solely on an individual basis, and not as a class action or representative proceeding. You waive the right to participate in a class action.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Redtalkers regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision in these Terms shall not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
• Notices: Legal notices shall be sent to the email address associated with your account or to our designated legal contact.
